1. About Reiod Locker

Reiod Locker ("we," "us," or "our") is a Mobile EMI Security and Device Management Software operated under Indian law. The service is offered to mobile retailers, dealers, distributors, and their customers ("Users") across India through the website www.reiodlocker.com and associated mobile applications.

2. Acceptance of Terms

By downloading, installing, or using any part of the Reiod Locker platform (website, Retailer App, or Customer App), you confirm that:

• You have read and understood these Terms & Conditions.
• You are at least 18 years of age or have the consent of a legal guardian.
• You agree to comply with all applicable Indian laws and regulations.

3. Services Provided

Reiod Locker provides the following services:

• Device enrollment and activation for EMI-based mobile sales.
• Remote device lock/unlock via the Retailer App.
• Live GPS location tracking of enrolled devices.
• Automated EMI due alerts and reminders.
• Flash protection, USB blocking, and power button protection.
• Distributor and dealer management portal.

4. User Roles and Eligibility

4.1 Retailers / Dealers / Distributors

You must be a registered business or individual operating a legitimate mobile phone retail or distribution business in India. You are responsible for obtaining the customer's informed consent before installing the Customer App on any device.

4.2 End Customers

By accepting the terms at the time of purchase, end customers agree to the installation of the Reiod Locker Customer App on their EMI-purchased device as a condition of the installment sale agreement.

5. License and Permitted Use

Reiod Locker grants you a limited, non-exclusive, non-transferable license to use the software solely for the purposes outlined in these Terms. You may not:

• Reverse-engineer, decompile, or modify the Reiod Locker software.
• Use the platform to monitor any device without the prior written consent of the end user.
• Resell or sublicense the software without written authorization from Reiod Locker.
• Use the service for any unlawful, fraudulent, or abusive purpose.
• Attempt to circumvent or disable any security feature of the software.

6. Customer Consent & Legal Compliance

The Retailer is solely responsible for:

• Informing the end customer clearly that the Reiod Locker Customer App will be installed on their device.
• Obtaining the customer's written or digital consent before installation, as part of the EMI purchase agreement.
• Ensuring the device management is used only to secure an EMI installment and not for personal surveillance.

7. Prohibited Activities

The following activities are strictly prohibited on the Reiod Locker platform:

• Tracking any individual without their prior consent.
• Using the platform against devices not covered by an EMI agreement.
• Sharing login credentials with unauthorized parties.
• Attempting to hack, overload, or disrupt the Reiod Locker servers or infrastructure.
• Using the service for harassment, extortion, or illegal debt recovery practices.

8. Data Privacy

We collect and process certain personal data to operate the service. Please refer to our Privacy Policy for full details on how we handle your data, in compliance with the IT Act 2000 and the Digital Personal Data Protection Act 2023 (DPDP Act).

9. Intellectual Property

All content, software, logos, trademarks, and materials on the Reiod Locker platform are the exclusive property of Reiod Locker and are protected under Indian intellectual property laws. Unauthorized reproduction or distribution is strictly prohibited.

10. Subscription, Fees and Billing

Reiod Locker operates on a license-based model. Subscription fees, license costs, and payment terms are communicated during onboarding. All prices are inclusive of applicable GST unless stated otherwise. Reiod Locker reserves the right to modify pricing with 30 days' notice.

11. Service Availability and Disclaimer

While we strive for 99.9% uptime, Reiod Locker does not guarantee uninterrupted service. We are not liable for:

• Loss of data due to device failure or unauthorized tampering.
• Inability to lock a device due to internet connectivity issues.
• Any financial loss caused by a customer evading the lock system.

12. Termination

We reserve the right to suspend or terminate your access to Reiod Locker at any time, with or without notice, if you violate these Terms. You may also terminate your account by contacting our support team. Termination does not waive any outstanding payment obligations.

13. Limitation of Liability

To the fullest extent permitted by Indian law, Reiod Locker's aggregate liability for any claim arising from the use of our services shall not exceed the amount paid by you to Reiod Locker in the preceding three (3) months.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.

Applicable laws include but are not limited to:

• Information Technology Act, 2000 (IT Act)
• Consumer Protection Act, 2019
• Indian Contract Act, 1872
• Digital Personal Data Protection Act, 2023

15. Dispute Resolution

In the event of any dispute, both parties agree to first attempt resolution through mutual negotiation within 30 days. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 of India.

16. Modifications to Terms

Reiod Locker reserves the right to update these Terms at any time. Continued use of the platform after changes are posted constitutes your acceptance of the revised Terms. We will notify users of significant changes via email or in-app notification.
